• Skillnook allows students to find classes that they are interested in taking and allows teachers to take classes for interested students. We reserve the right to refuse to provide this service to any person for any reason and/or to discontinue the service in whole or in part at any time, with or without prior notice.
• Neither Skillnook nor any third parties provide any warranty or guarantee as to the accuracy, timelines, performance, completeness or suitability of the information and materials found or offered on this website. The content on our website is published in good faith and accurate to the best of our knowledge. However, should any inaccuracies or errors occur we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.
• This website contains material which is owned by or licensed to us and are protected by proprietary rights and any reproduction without our permission is prohibited.
• You may not use any trademark, logo or other proprietary information (including images, text, page layout or form) of Skillnook or its affiliates without express written consent.
• You may not use any “hidden text” utilizing the Skillnook name or trademarks without our express written consent.

• Skillnook is not responsible for any content submitted by users (User Submissions), including any information submitted on this website or on other forums or other public areas. Irrespective of whether it is published or not, we do not guarantee any confidentiality with respect to a User Submission. You are solely responsible for your own User Submission and the consequences of posting or publishing them.
• You represent and warrant that you own or have the necessary licenses, rights, consents and permissions to your User Submissions (and all content included in that), including the right to authorize Skillnook to use the User Submissions in the manner contemplated by us.
• You hereby grant Us a non-exclusive, royalty-free, worldwide, perpetual license to use your name and user submissions for Skillnook advertising, marketing and promotions, on various media platforms.
• We neither endorse nor assume any liability for the contents of any User Submission. We generally do not pre-screen, monitor, or edit User Submissions. However, if your submission does not comply with our rules then we have the right to remove it or change the content if it is found to be harmful, objectionable, or inaccurate. We are not responsible for any failure or delay in removing any such User Submission or other content. You hereby consent to such removal and waive any claim against us arising out of such removal of any User Submission, whether it is your own or another user’s.
• All the material published on Skillnook website is our intellectual property and any damage to that will not be tolerated.
• Any new features or tools which are added to the current store shall also be subject to the Terms of Service. You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.
• You must not transmit any worms or viruses or any code of a destructive nature.
• You represent and warrant that you are of lawful age as per the law applicable your country of residence to hold an online account. If you are under 15years of age, then your parent or legal guardian can open an account for you and give you the permission to use it under their guidance and presence. By doing so, they give us their consent to allow any of their minor dependents to use our site.
• You must be a human to open an account. Accounts registered by “bots” or other automated methods are not permitted.
• You are responsible for maintaining the security of your account and password. We view any actions taken by your account as taken by you. We will not be liable for any loss or damage from your failure to comply with this security obligation.

2. Rules for All Users

When you sign up for the Site, you agree to the following rules:

• You will use the Service only for lawful purposes and agree to not use the Service in any way that will harm or undermine the rights of any other user.
• Your use of the Service is subject to all applicable laws and regulations, and you are solely responsible for all your communication, posts, activities and submissions.
• You will not upload any copyrighted, trademarked, or proprietary materials on any media platform related to Skillnook, without the expressed permission of the owner. You will not post any content that infringes on any patent, trademark, trade secret, copyright, right of publicity, or other intellectual property or proprietary right of any party.
• You assume full responsibility for the content of the Service offered.
• You understand that classes posted are publicly available to be viewed and be accessed by any student.
• You agree that you will not engage in any behaviour that constitutes unauthorized or unsolicited advertising, spamming, chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling.
• You will not share content from the website with anyone who is not properly licensed to access the content.
• You will not upload, share, post, distribute or take part in any behaviour that is unlawful, threatening, hurtful, abusive, harassing, defamatory, libellous, deceptive, fraudulent, invasive of other people’s privacy, tortious, contains explicit or graphic descriptions or accounts of sexual acts (including sexual language of a violent or threatening nature directed at another individual or group of individuals), or otherwise violates our rules or policies.
• Your behaviour and messages should not victimize, harass, degrade, or intimidate any individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability.

• Your participation in any class, as a Teacher or Student, is at your sole risk. Skillnook admins will supervise classes but are not involved in any way with the actions of any individuals (whether students or teachers) in any class. We will just try our best to ensure that class runs smoothly. But we have no control over the identity or actions of the individuals who are present at these classes, and we request that our users exercise caution and good judgment when participating in Classes.
• You acknowledge and agree that by participating in any class (whether as a student or teacher) you may be exposed to a variety of risks, which may or may not be foreseen, including personal injury, property damage and death. You are solely responsible for all costs and/or risks associated with your participation in any class. To the fullest extent permitted by law, you hereby release skillnook and each of the other skillnook parties from any claims or damages of any kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, relating to your participation in any event, whether as a student or teacher.

3. Specific Rules for Teachers

When you publish a class on the Site, you agree to the following rules:

• You will honour any enrolments through Skillnook.com at the price and time listed in the Service, and not to refuse enrolments or participation by any student for any discriminatory or other illegal reason.
• You grant us the right to place advertisements on your content at our sole discretion.
• Any content you submit to Skillnook, will be your own and not contain third party copyrighted material, or material that is subject to other third-party proprietary rights, unless you have permission from the rightful owner of the material.
• You represent and warrant to Skillnook that you are qualified to teach in the classes that you list with Us and that you will conduct yourself in a professional manner and in compliance with all applicable laws.
• You understand that, if you teach a class, your students will have the ability to post a review of this class on various media platforms. We cannot control the contents of any such review and will not be held responsible for any information or opinions that a user may include in any such review.
• You may choose to remove content from your class and will continue to own such content, but we will continue to have the right to use that content and to provide it to students who have paid for or enrolled in your class.
• You grant us full ownership of any video content that we have filmed for you. It is at our sole discretion to remove, add, or edit that video content.
• You agree that you will not submit content to Skillnook that violates Skillnook policies and guidelines, which may be occasionally updated. It is your responsibility to keep yourself updated with our policies and terms.
• Skillnook reserves the right to, but is under no obligation, to delete the listing of any class at any time and for any reason.
• You must not misuse any student’s personal information without their express consent and should not send unsolicited commercial messages or unauthorized transactions to any student.

3. Teacher Payments

• Teachers may earn revenue by publishing classes or offering additional services through Skillnook.
• Skillnook pays teachers on the 15th of the month. Payouts sent on the 15th of each month are for transactions that have occurred in the previous calendar month.
• Teachers have 30 days from the time at which a payment was or should have been made to report any discrepancies. After 30 days, you have waived your right to dispute any payment.
• Teachers and students agree that Skillnook’s sole responsibility is to process payments and pay out teachers in the proportions set forth above. Skillnook is not party to any transaction between any student and/or teacher and cannot be held responsible for any issues arising from any such transaction.
• Teachers are responsible for all income, sales, and other taxes associated with the fees they earn. Skillnook reserves the right to withhold any payment until it has received all tax identification information it requires to satisfy its obligations.
• Skillnook reserves the right to withhold or cancel payments to Teachers if they are found to be engaged in behaviour that violated any part of this Agreement.

4. Specific Rules for Students

When you enrol in a class on the Site, you agree to the following rules:

• You will accept all the terms and conditions including the cancellation policy listed on the website when you agree to enrol in any course or access a class on Skillnook.
• You will follow all reasonable rules set by a teacher with respect to a class, and you will not take any actions to interfere with the teacher or any other students in the class.
• You may access class content for your information and personal use only.
• You will not copy any materials or techniques for purposes of your own or others’ classes, or for interfering with any class or the teacher’s ongoing relationship with any students participating in such class.
• Skillnook reserves the right to delete or suspend your account if you violate any of our rules, or at any time and for any reason.
• You will not share the Class Ids and Passwords with others. If you are caught doing such practice, your account will be terminated without any prior notice.

5. Skillnook Rights

Skillnook reserves the rights to :

• Make changes to the Skillnook webite, social media platforms and services offered without notice or liability.
• Terminate your account and payment at any time and for any reason. We can change our eligibility criteria at any time. If these things are prohibited by law where you live, then we revoke your right to use Skillnook in that jurisdiction.
• Co-operate fully with investigations of violations of systems or network security at other sites, including cooperating with law enforcement authorities in investigating suspected criminal violations.
• Remove a teacher from our platform at any time, without prior notice, at our sole discretion, should we identify that their account is associated with behaviour that we deem to be in violation of our rules or guidelines.
• To reject, cancel, interrupt, remove, or suspend any class, comment, or comments posted anywhere on our website or social media platforms, at any time and for any reason.
• We reserve the right to adjust pricing for our service or begin charging fees for any free service at any time as we may determine in our sole and absolute discretion.
• It is our policy not to comment on the reasons for any damage or action.

6. The Class Agreement for Teachers and Students

In connection with a class, a teacher and student may enter into various agreements, releases, or documents. We have absolutely no control over the information shared by a Teacher, in any class, so we request participants to exercise self-judgement in actions and deeds.

Students and teachers are each responsible to the other for complying with the terms of the Class Agreements, but Skillnook has no control over either party’s compliance. We cannot control the provisions of the Class Agreements or the accuracy or legality of the Class Agreements or any party’s performance. We shall not be held responsible for any liability arising out of the Class Agreements or any actions that you (teacher or student) may take in reliance and is not a party to any transaction between you and any other user. To the fullest extent permitted by law, you agree to release Skillnook from any claims or damages of any kind or nature, whether known or unknown, suspected or unsuspected, disclosed or undisclosed. You also release Skillnook from any dispute relating to the class agreements or any transaction or attempted transaction with another user of the service (whether a student or teacher). You agree and understand the risk binding upon you and your representatives.

7. Shopping of Handmade Products

Our services also include selling Handmade products. These products may have limited quantities and are subject to return or exchange only according to our Return Policy. Since the products are handmade, therefore even after taking all the care and keeping everything same, copies of same products may vary in size and colour and not be 100% same. Also, we have made every effort to display as accurately as possible the colours and images of our products that appear at the store. We cannot guarantee that your computer monitor's display of any colour will be accurate. We reserve the right, but are not obligated, to limit the sales of our products to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at anytime without notice, at our sole discretion. We reserve the right to discontinue any product at any time. Any offer for any product or service made on this site is void where prohibited. We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.

8. Indemnification

Upon a request by us, you agree to defend, indemnify, and hold us and the other Skillnook Parties harmless from all liabilities, claims, and expenses, including attorneys’ fees, that arise from your violation of these Terms of Service or any of the other Governing Documents, or other negligent or wrongful conduct. We reserve the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defence.

9. Miscellaneous

The Terms of Service, together with the Privacy Policy and the other Governing Documents, shall all be governed and construed in accordance with the Indian laws, without regard to conflicts of law principles. You agree that any legal action or proceeding between Skillnook and you for any purpose concerning these Terms of Service, the Privacy Policy, the other Governing Documents or your use of the Service shall be brought exclusively in Hyderabad, India jurisdiction.

You and Skillnook agree that any dispute or claim arising from or relating to the Terms shall be finally settled by arbitration in English language. Any arbitration under the Terms will take place on an individual basis: class arbitrations and class actions are not permitted.

These Terms of Service, together with the Privacy Policy and the other Governing Documents, constitute the entire agreement between you and Skillnook concerning the Service and the services provided by Skillnook. If any provision of any such document is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions thereof, which shall remain in full force and effect. Skillnook's failure to insist upon or enforce strict performance of any provision of these Terms of Service or any of the other Governing Documents shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of these Terms of Service. Skillnook may assign its rights and duties under these Terms of Service or any of the other Governing Documents to any party at any time without notice to you.

Most communication between Skillnook and you will be sent and received electronically. You agree that all electronic communication between Skillnook and you shall satisfy any legal requirements that such communications be in writing.
